1. Acceptance of Terms

By accessing or using the Covet Health website located at covethealth.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors and users of the Site.

These Terms govern access to and use of the public-facing Site and informational resources only. Use of Covet Health's plan administration platform, member portal, broker portal, or employer portal is governed by separate agreements applicable to those services.

2. Description of Services

Covet Health provides third-party administration (TPA) and health plan administration services to self-funded employer groups, plan members, and licensed brokers. The Site provides general information about Covet Health and its services. Actual plan administration, claims processing, eligibility management, and member services are provided pursuant to separate service agreements and are subject to the terms of applicable health plan documents.

Nothing on this Site constitutes a guarantee of benefits, coverage determination, or legal or medical advice. Plan benefits and coverage are determined solely by the applicable plan documents and Summary Plan Descriptions (SPDs).

3. Eligibility and Account Access

Use of the Site is available to individuals 18 years of age or older. If you are accessing plan administration features on behalf of an employer or organization, you represent that you have the authority to bind that organization to these Terms.

Access to member, employer, and broker portals requires separate credentialing and is governed by applicable platform agreements. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

4. Acceptable Use

You agree not to use the Site to:

  • Violate any applicable federal, state, or local law or regulation, including HIPAA and applicable insurance regulations
  • Transmit any unauthorized or unsolicited commercial communications
  • Attempt to gain unauthorized access to any portion of the Site or related systems
  • Interfere with or disrupt the integrity or performance of the Site
  • Collect or harvest information about other users without their consent
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload or transmit viruses, malware, or other malicious code

5. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, and software, is the property of Covet Health or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Site without prior written permission from Covet Health.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes in accordance with these Terms.

6. Health Information Disclaimer

Content on this Site is provided for informational purposes only and does not constitute medical advice, diagnosis, or treatment recommendations. Covet Health is a plan administrator, not a healthcare provider. Always consult a qualified healthcare professional regarding medical conditions, treatment decisions, or questions about your health.

Information about benefits, coverage, and plan features presented on this Site is general in nature. Actual coverage is determined solely by the applicable plan documents, and benefits are subject to plan terms, conditions, exclusions, and limitations.

7. Regulatory Compliance

Covet Health's plan administration services are subject to applicable federal and state laws and regulations, including but not limited to HIPAA, the Employee Retirement Income Security Act of 1974 (ERISA), the Affordable Care Act (ACA), the No Surprises Act, and applicable state insurance laws. Nothing in these Terms limits Covet Health's obligations under applicable law or regulation.

8. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. COVET HEALTH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COVET HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL COVET HEALTH'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).

This limitation does not apply to any liability that cannot be excluded or limited under applicable law, including liability for Covet Health's obligations under HIPAA or ERISA.

10. Indemnification

You agree to indemnify, defend, and hold harmless Covet Health and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

The Site may contain links to third-party websites. These links are provided for convenience only. Covet Health does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.

13. Modifications

Covet Health reserves the right to modify these Terms at any time. We will post revised Terms on this page with an updated effective date. Your continued use of the Site after any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising under or relating to these Terms or your use of the Site shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property or unauthorized access.

15. Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Covet Health regarding your use of the Site and supersede all prior agreements relating to the same subject matter.
